LLCs
Georgia limited liability companies are organized by filing articles of organization with the Corporations Division. Each filing must include the name and street address of a registered agent located in Georgia.

An amended annual registration may only be filed if the entity has already filed its annual registration for the current registration period. All of these forms may also be filed online at Georgia Corporations Division Online Services.
Changing a Georgia Registered Agent’s Own Name or Address (Filed by Agent)
A registered agent that changes its own office address may file a single statement to update the registered office address for all entities it represents, rather than having each entity file separately. A separate mass name change filing is available for agents that change their legal name.

Registered Agent Resignation and Rejection Forms in Georgia
A registered agent that no longer wishes to serve may file a statement of resignation with the Corporations Division. Georgia does not publish a separate rejection-of-appointment form. Filing methods are the same as described above.

Reinstatement Forms Requiring Registered Agent Information in Georgia
Domestic corporations and LLCs that have been administratively dissolved may apply for reinstatement within five years of the effective date of dissolution. The reinstatement application requires the applicant to designate a current registered agent and registered office. Foreign entities are not eligible for reinstatement and must instead re-qualify by submitting a new application for certificate of authority.
